THEME LOGIC HL PLUGINS — PROPRIETARY USE LICENSE

1. OWNERSHIP

The HL Plugins library, including all associated CSS files, JavaScript files, documentation, and related assets (collectively, the "Software"), is the exclusive intellectual property of Theme Logic, LLC ("Theme Logic"). This License does not transfer any ownership rights to you. All rights not expressly granted herein are reserved by Theme Logic.

   

2. GRANT OF LICENSE

Subject to the terms and conditions of this License, Theme Logic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for the purpose of enhancing Higher Logic-powered websites and online communities operated by your organization ("Permitted Use").

This license is granted on a per-organization basis. Access to the Software may be provided at no charge during promotional or introductory periods, or pursuant to a paid subscription plan as determined by Theme Logic. The specific terms of access — including pricing, subscription tiers, and included features — are governed by the agreement in effect at the time of access and are subject to change at Theme Logic's sole discretion with reasonable notice.

   

3. RESTRICTIONS

You may not, under any circumstances:

  • Redistribute, resell, sublicense, rent, lease, or otherwise transfer the Software or access to the Software to any third party;
  • Repackage, rebrand, or represent the Software as your own product or creation;
  • Remove, obscure, or alter any copyright notices, license headers, or attribution comments contained within the Software files;
  • Use the Software to build a competing product or service;
  • Host, mirror, or serve copies of the Software files from any location other than as expressly authorized by Theme Logic;
  • Reverse engineer the Software for the purpose of replication or competitive use.

   

4. SUBSCRIPTION TERMS

Theme Logic reserves the right to transition access to the Software — including any plugins currently available at no charge — to a paid subscription model at any time. Theme Logic will provide reasonable advance notice of any such transition. Continued use of the Software following the effective date of any new access terms constitutes your acceptance of those terms.

Future versions of the Software, including new plugins and updates to existing plugins, may be available only to active subscribers. Access to the Software URLs does not constitute a perpetual license to any version of the Software.

   

5. ATTRIBUTION

You may not remove or alter the copyright and license comment blocks included at the top of each Software file. When publicly referencing or recommending the Software, you are encouraged (but not required) to attribute the Software to Theme Logic, LLC and link to the official plugin resource page.

   

6. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THEME LOGIC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT. THEME LOGIC DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS OR SECURITY VULNERABILITIES.

   

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THEME LOGIC, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THEME LOGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SOFTWARE IS TO DISCONTINUE USE.

   

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Theme Logic, LLC and its members, officers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Software, your violation of this License, or your violation of any rights of a third party.

   

9. TERMINATION

This License is effective until terminated. Theme Logic may terminate your license immediately and without notice if you breach any term of this License. Upon termination, you must immediately cease all use of the Software and remove any hosted references to the Software URLs from your organization's systems. Sections 1, 6, 7, 8, and 10 shall survive termination.

   

10. GOVERNING LAW

This License shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any disputes arising under this License shall be subject to the exclusive jurisdiction of the state and federal courts located in Prince George's County, Maryland.

   

11. CHANGES TO THIS LICENSE

Theme Logic reserves the right to modify this License at any time. Updated license terms will be posted at the official repository and/or plugin resource page, and will take effect upon posting or as otherwise specified. Continued use of the Software after any modification constitutes acceptance of the revised terms.
